International Master in International Business and Corporate Law Overview

Participants will learn the importance and benefits of international law, especially when managing international business, since it is essential to interpret the law according to the country and its impact on commercial activities. The ongoing process of cultural, economic, and political globalization has led to expanding international trade and creating a new system of rules. 

Learning Outcomes

  1. Acquire the necessary skills to frame every single international legal issue in the right regulatory context (e.g. from policies introduced by the World Trade Organisation (WTO) to the rules contained in the General Agreement for Trade and Tariffs (GATT) and Trade-Related Intellectual Property Rights (TRIPS).
  2. Draft international transactions and file an international lawsuit before the competent Courts (including arbitration).
  3. Interpret the role of the members of the corporate bodies by identifying the duties and rights of all the subjects connected to them (shareholders, statutory auditors, Board of Directors, Supervisory Body).
  4. Set up a compliance policy (anti-corruption, environmental, antitrust, etc.).
  5. Develop smart contracts and take advantage of artificial intelligence tools.

Giuseppe Ferrara is a lawyer admitted to practice law before the Italian courts up to the Supreme Court of Cassation and has been Head of Legal and Corporate Affairs Europe of the Enel Group (for all the various European countries in which the Group is present, including Germany, United Kingdom United Kingdom , Slovakia, Russia, Romania and Greece).

Over the years he has held other managerial positions within the Legal Department of the Enel Group such as Head of Intellectual Property and Innovation, Head of Labor and Legal Policies, Head of the ICT and TLC, Head of Litigation as well as General Counsel of E-distribuzione SpA.

He has been a member of several Compliance Bodies of the Enel Group companies, served on the Board of Directors and the Strategy Commitee of Enel Russia PJSC and is currently a member of the Board of Enel Romania SA. and Vice- Chairman of the Supervisory Body of Slovenske Elektrarne a.s.

He is the author of numerous publications in legal journals and was editorial coordinator of a Legal Review of Electricity (Rassegna giuridica dell’energia elettrica – Ed. Cedam).

He is also passionate about sports law and is Head of the Legal Department of the professional football club Latina Calcio 1932.

Giuseppe was born in Potenza, is married to Katia and has three children.

Patricio Barbirotto Università Ca'​ Foscari Venezia - Research Fellow

A research fellow in International Law at Ca’ Foscari University of Venice and works in the consulting field International Law and International Affairs. He studied and worked in Italy, in the Czech Republic, in the PRC and in Russia and he fluently speaks 5 languages. Lecturer in "International Business Law" in the "Global Development and Entrepreneurship" master's degree course for the academic year 2021/2022; Lecturer in “Advanced International Law” in the master's degree course “Comparative International Relations” for the academic year 2022/2023. His main fields of interest and expertise are regional integration, international business law (with particular attention to the role of the non-State actors), West-East relations and the relation between international law and new technologies (namely the blockchain, the AI and in general all the issues related to cybersecurity). He is the author of a number of scientific publications concerning his fields of expertise, published both in Italy and abroad, and he has been member of the venetian editorial board of ‘Diritto del commercio internazionale’ (Italian A-Class scientific journal) since 2021. He holds a Master degree in International Relations from Ca’ Foscari University of Venice and a PhD in “Law, Market and Person” (International Law) from Ca’ Foscari University of Venice​

Peter Thurton Legal Counsel at Enbridge

Peter Thurton is a Canadian business law attorney. Peter’s expertise is in ethics and compliance. For over thirty years Peter has represented some of Canada’s largest financial institutions (including Manulife Financial, CIBC and Royal Bank Insurance) and energy companies, specifically Enbridge. In the past year and because of the issues concerning race in North America a great deal of Peter’s work has focused on issues of race and discrimination in the workplace. He holds a Law degree from Osgoode Hall Law School and from St. Francis Xavier University where he was a Rhodes Scholar Finalist.

Luminita focuses on domestic and international commercial arbitration, as well as investment treaty arbitration. She acts as Counsel for private and state parties in numerous proceedings administered under the rules of main arbitration institutions and dispute resolution bodies and has developed particular experience in disputes regarding privatization agreements, infrastructure and civil engineering projects, mergers & acquisitions in the industrial, oil and gas and energy sectors. She is listed on the panel of arbitrators of the Court of International Commercial Arbitration attached to the Chamber of Commerce and Industry of Romania and the Court of Arbitration of the German-Romanian Chamber of Commerce and Industry in Romania). She is Fellow of the Chartered Institute of Arbitrators (FCIArb), and a member of numerous international associations, including the International Bar Association, the ICC Institute of World Business Law and International Council for Commercial Arbitration (ICCA). She has expertise in advising on natural resources projects, assisting major international companies on the implementation of large projects and oil & gas operations, as well as on all aspects related to project development, public procurement, PPP and complex permitting schemes. GAIA MARANO
Gaia Marano Avvocato

Gaia Nina has a Law Degree and Master Degree in Tax Law from the University LUISS of Rome. She is a lawyer of the bar association of Rome since 2014. She had diverse working experience in international environments, and she worked for EBA Clearing in Paris from June till October 2019. She is working for a boutique Law Firm in Rome with a special focus in Labor & Employment Law. She has, by nature, an entrepreneurial spirit, and that is why she completed the MBA part-time program at Luiss Business School in June 2020. Gaia is an Italian native speaker. She is fluent in English, and she is constantly trying to improve her French. Having lived in different countries around the world, she knows the importance of networking. She joined the Professional Women Association (PWA) because she believes in the power of team working and because for her diversity is a major plus. As Programming Director, she wishes to affirm with PWA members & friends the fundamental role women play in this challenging era.

Roberto Pirozzi Arbitrator at Arbitra International

Roberto is a dual qualified business lawyer: he has been admitted both to the bars of Rome and New York. With a Master in Comparative Law, he starts his career as an Associate at PAGANI & PARTNERS LLP. He was then In-House Counsel for the ATECAP, where he drafted construction contracts and step clauses for sustainability purposes. Later he was an Associate at Legance and a Juridicial Intern at the Supreme Court of New York. Subsequently he worked as Research and Legal Assistant at the Institute for International Commercial Law and was an Associate at Collier, Halpern, Newberg, Nolletti & Bock LLP. In 2013 he became Adjunct Professor of International Commercial Law at LUMSA and at the same time he became Partner at 3D Legal – DANDRIA Legal Studio. Currently he is Adjunct Professor of American Business Law at The American University of Rome and Managing Partner at Pirozzilex. His area of practice cover domestic and international commercial arbitration, as well as international commercial contracts (CSIG), antitrust and regulatory matters.

Francesca Napolitano Head of Financial Legal affairs at Enel S.p.A.

Francesca started her career as Senior Associate at D'Urso Munari Gatti, drafting contracts with local or international parties and focusing on commercial, corporate, telecommunications and administrative law with specific reference to public procurement. In 2005 she worked in Corporate Affairs for Enel, and then entered the team of Enel Green Power as Head of Corporate Affairs and then became Head of Corporate Governance M&A and Finance. Subsequently she was Head of Legal Affairs for Global Infrastructure & Network Business Line for Enel. Currently she holds the position of Head of Financial Legal Affairs at Enel.

Silvia Melandri Lawyer

Lawyer admitted to practice law before all Italian courts. She started practicing international law in 2000 at Baker & McKenzie Milan and currently collaborates with international law firms in different countries including Germany, Spain and Miami. Over the years she has achieved vast experience in advising both companies and legal entities regarding matters of trade, insurance, contract drafting and real estate specifically from a transnational perspective. She is also an experienced international trade negotiator. She is the author of publications in legal journals (“Liability insurance: allocating legal costs between insurer and insured”- “Criteria for assessing fraud in professional indemnity cases”- “Gestione di carte di credito e concorrenza sleale”) and has published in 2022 the legal guide for youngsters "Guida Galattica Enorme per Adolescenti" (Ed. Mondadori).

The goal of the admissions procedure is to confirm a candidate’s eligibility to enrol in the International Master International Business and Corporate Law. Academic background, prior experiences in the Master’s programme themes, and motivation will all be considered while evaluating candidates. Following submission, the application will be reviewed by the academic committee of the Rome Business School. All relevant papers must be included in order for the application to be accepted.
